The upcoming IPO of the National Stock Exchange of India, a key public utility, is expected to enhance transparency and governance in India's financial system. While the National Stock Exchange of India will not raise fresh capital, the Offer for Sale structure will provide liquidity to its 195,000 existing shareholders, potentially attracting new investors to the Indian market.
The National Stock Exchange of India (NSE) is preparing for its initial public offering (IPO) after receiving a no-objection certificate from the India — Securities and Exchange Board of India (SEBI) following a decade-long wait. Ashish Chauhan, the Managing Director and CEO of the National Stock Exchange of India, confirmed that due to Indian regulations, the exchange will not self-list its shares on its own platform. Instead, it will seek listing on an alternative recognized exchange, such as the BSE. The IPO will be structured as an Offer for Sale (OFS), meaning existing shareholders will dilute part of their holdings, and the National Stock Exchange of India will not raise fresh capital. Chauhan emphasized that the IPO is primarily procedural, aimed at providing liquidity to its nearly 195,000 shareholders and enhancing transparency and governance through public scrutiny, drawing parallels with the improved governance of Life Insurance Corporation post-listing. The National Stock Exchange of India will take a few months to prepare and file its Draft Red Herring Prospectus (DRHP) for SEBI's review.
