The proposed changes by the India — Securities and Exchange Board of India are expected to strengthen the financial stability of stock brokers by requiring them to maintain higher net worth commensurate with their operational risks, which could lead to increased investor confidence. This regulatory update will directly affect the operational costs and capital requirements for financial services firms, potentially leading to consolidation or adjustments in business models for smaller brokers.

The India — Securities and Exchange Board of India (Sebi) has proposed a revised methodology for calculating the variable net worth of stock brokers. This new framework aims to better align capital requirements with operational risks by linking net worth to client balances and the number of active clients. The existing formula, introduced in 2022, has become less effective due to the upstreaming framework, which requires brokers to transfer client funds to clearing corporations, leaving minimal balances with them. The new approach will compute variable net worth as an aggregate of average client credit balances and the scale of operations in terms of active clients, both direct and through Authorised Persons (APs). This move is intended to strengthen the 'second line of defence' beyond margins, ensuring brokers have adequate financial buffers. The proposal follows recommendations from a working group including the National Stock Exchange of India and BSE, and public comments are invited until May 15, 2026.
