SciSparc Ltd. announced that its majority-owned subsidiary, NeuroThera Labs Inc., received conditional regulatory approval from the TSX Venture Exchange for the acquisition of approximately 54% interest in CliniQuantum, an Israeli technology company. The transaction, initially disclosed in March 2026, involves NeuroThera Labs Inc. acquiring 56,375 ordinary shares of CliniQuantum for 56,600,000 common shares of NeuroThera Labs Inc., valued at approximately CAD$9.46 million. CliniQuantum specializes in applying quantum simulation and quantum Monte Carlo methods to clinical trial data analysis to improve precision. A key asset of CliniQuantum is an exclusive, worldwide, royalty-bearing license agreement with Quantum X Labs for certain patents and know-how. Amendments to the share purchase agreement included establishing a minimum issuance price for earn-out payments and lock-up arrangements for the selling shareholders.
