Autodesk acquires MaintainX for $3.6B

Autodesk, a design software company, announced its definitive agreement to acquire MaintainX, a maintenance and operations software provider, for approximately $3.6 billion in an all-cash transaction. This acquisition is the largest in Autodesk's history and is central to its strategy of connecting design, manufacturing, and operations workflows on a unified platform. MaintainX's software manages maintenance activities, asset information, inspections, and work orders across various industries. The deal is expected to expand Autodesk's addressable market, deepen customer ties, and enhance its AI-driven decision-making capabilities by integrating operational data. The transaction is subject to regulatory review and customary closing conditions, with an expected close later in Autodesk's current fiscal year, which ends in January 2027. MaintainX anticipates annualized recurring revenue for calendar year 2026 to exceed $135 million, with growth above 50%. Autodesk plans to fund the acquisition using a combination of cash on hand and debt financing. Following the announcement, Autodesk shares experienced a slight dip in extended trading.
