Persistent Systems, an Indian IT services firm, has announced a voluntary public takeover offer to acquire all outstanding shares of German digital engineering firm Nagarro SE at \u20ac81 per share in cash. The offer is being made through Persistent Systems' subsidiary, Galaxy Germany Holding. Nagarro SE's management and supervisory board support the transaction, and its largest shareholder, Lantano Beteiligungen GmbH, has agreed to tender its entire 21% stake. The deal, valued at a significant premium, is expected to close by Q4 CY26 or Q1 CY27, subject to regulatory approvals from Germany — Federal Financial Supervisory Authority and a minimum acceptance threshold of 50% plus one share. This combination aims to create a scaled, globally diversified AI-led digital engineering and enterprise modernization powerhouse with a combined revenue run rate of approximately $2.9 billion and over 46,000 employees across more than 40 countries. Persistent Systems intends to pursue a delisting of Nagarro SE shares from the Frankfurt Stock Exchange.
