French drugmaker Ipsen has agreed to acquire Swiss biotech Memo Therapeutics for up to €700 million ($800 million), including €200 million upfront and milestone payments. The deal focuses on potravitug, a Phase II monoclonal antibody targeting BK polyomavirus-associated nephropathy (BKPyVAN) in kidney transplant recipients. Potravitug has FDA fast-track and EU orphan drug designations. Ipsen plans to initiate a pivotal Phase II/III trial later this year. Memo's non-potravitug assets will be transferred to a new company, Memo Therapeutics, retained by Memo's shareholders. The acquisition is Ipsen's second in three days, following the $1.75 billion purchase of Kartos Therapeutics.
