The acquisition is expected to strengthen Thales' position in the defence and aerospace sectors, particularly in underwater warfare and inertial navigation. The deal is likely to be viewed positively by investors, as reflected in Thales' share price rise of 7.42% in U.S. OTC trading.

Thales Group, a French aerospace and defence corporation, has signed a binding agreement to acquire the Gorgé family's 35.51% stake in Exail at €134 per share, implying an enterprise value of approximately €3.9 billion. The transaction represents a 44% premium to Exail's unaffected share price as of June 25, 2026. Thales intends to launch a mandatory tender offer for the remaining shares and ODIRNANE bonds, with the full acquisition expected to close by early 2028. The deal aims to bolster Thales' capabilities in underwater warfare, maritime drones, inertial navigation, and quantum sensors. Exail, which reported €479 million in revenue in 2025, is a high-tech industrial group specializing in robotics, navigation, aerospace, photonics, and quantum technologies. Thales expects the acquisition to be accretive to adjusted earnings per share in the first year after closing and to generate significant synergies, including €500 million of additional revenue over 10 years and €90 million of adjusted EBIT synergies by 2032. Exail's board unanimously welcomed the proposed transaction.
