The acquisition strengthens Ondas' financial profile with immediate revenue and EBITDA contribution, positioning it as a scaled autonomous defense platform. The stock market is likely to view the deal positively given the strategic fit and growth outlook, though dilution from the stock consideration may temper short-term gains.

Ondas Inc. (NASDAQ:ONDS) announced on July 6, 2026, the acquisition of DZYNE Technologies, LLC for $875.8 million, financed through cash and stock. DZYNE shareholders received $200 million in cash and approximately 85 million Ondas shares valued at about $675 million, with over 50% of the stock subject to a six-month lock-up. The acquisition establishes Ondas as a next-generation autonomous defense platform, combining capabilities across multi-domain ISR, counter-UAS, autonomous effects, precision strike, autonomous logistics, and AI-enabled mission orchestration. DZYNE brings long-endurance autonomous aircraft (ULTRA), counter-drone systems (IonStrike), and autonomous effects (Blitz, Grasshopper), supported by over $500 million in cumulative R&D. Ondas formed a new division, Ondas Sentinel, integrating DZYNE and World View Enterprises. Ryan Hartman (CEO of World View) becomes CEO of Ondas Sentinel, and Matt McCue (co-founder and CEO of DZYNE) becomes CTO. DZYNE is expected to generate $191 million in revenue in 2026 and be EBITDA positive. Ondas raised its 2026 revenue target to at least $525 million. Highland Capital Partners, the majority owner of DZYNE, will own approximately 13.8% of Ondas' outstanding shares. Citizens Capital Markets & Advisory served as financial advisor to Ondas, Baird to DZYNE, Akerman to Ondas, and Baker McKenzie to Highland Capital Partners and DZYNE.
