The acquisition simplifies Emcure's ownership structure and sharpens its focus on high-growth biologics and biosimilars, potentially enhancing long-term profitability. However, the transaction is not expected to materially affect Emcure's near-term financials or deleveraging plans.
Emcure Pharmaceuticals has acquired the remaining 12.05% minority stake in its biopharma subsidiary Mapp Biopharmaceutical for ₹232 crore, making Gennova a wholly-owned subsidiary. The transaction includes a leadership transition: Amit Mehta becomes CEO of Gennova, succeeding founder Sanjay Singh, who exits after nearly 20 years. Singh has divested Gennova's mRNA business to his new venture, Immunoscript Life Science, for ₹139.5 crore. Gennova will now focus on biologics and biosimilars, leveraging its mammalian and microbial biomanufacturing platforms. Emcure stated the deal will not materially impact its consolidated financials or capital allocation.
