Wabash (NYSE: WNC) announced the pricing of its upsized private offering of $130 million aggregate principal amount of 4.00% convertible senior unsecured notes due 2032, upsized from the previously announced $100 million. The offering is expected to close on July 20, 2026. Net proceeds are estimated at $122 million (or $141 million if the initial purchasers' option is exercised in full) and will be used for general corporate purposes, including repaying amounts outstanding under its existing credit agreement. The notes are convertible into shares of Wabash common stock at an initial conversion price of approximately $16.75 per share, representing a 32.50% premium over the July 15, 2026 closing price of $12.64.
