IPG Photonics Corporation (Nasdaq: IPGP) announced a binding offer to acquire Lumibird Medical, a global leader in diagnostic and treatment systems for ophthalmology, for a purchase price of €300 million on a cash-free, debt-free basis, with an additional contingent earnout of up to €50 million based on 2026 and 2027 performance. The acquisition is expected to close in Q4 2026, funded with cash on hand. The combined medical businesses will create a scaled medical laser platform with complementary leadership in ophthalmology and urology, adding approximately $1 billion in addressable market for IPG's Advanced Solutions. The transaction is expected to be accretive to gross margin, EBITDA, and adjusted EPS. Lumibird Medical reported revenue of €112.2 million and EBITDA of €24.1 million (21.5% margin) for FY2025. IPG's CEO Dr. Mark Gitin and Lumibird Medical's CEO Jean-Marc Gendre expressed optimism about the deal.
