The acquisition strengthens Vår Energi's position as Europe's largest independent oil and gas producer, enhancing its production, reserves, and cash flow. The deal is expected to be accretive to per-share metrics and supports a stable dividend policy, likely boosting investor confidence in both companies.
Vår Energi has agreed to acquire BlueNord in a cash-and-stock deal valued at approximately $1.33 billion, creating the largest independent oil and gas producer in Europe. The transaction will add BlueNord's producing assets on the Danish Continental Shelf, including interests in the Tyra, Halfdan, Dan, and Gorm hubs, to Vår Energi's existing North Sea operations. BlueNord shareholders will receive 248.4 million new Vår Energi shares and NOK 1.96 billion ($204 million) in cash, representing about 9.05% of the combined company. Eni will remain the majority shareholder with approximately 57.33% ownership. The combined entity is expected to produce around 450,000 barrels of oil equivalent per day with 2.4 billion barrels of reserves and resources. Vår Energi expects $250-$300 million in post-tax synergies from 2027 to 2032 and plans to increase its Q2 2026 dividend to $350 million. Completion is expected by end of 2026, subject to BlueNord shareholder and regulatory approvals.
