Pepkor, a JSE-listed retail group, announced the merger of its fintech subsidiary Flash with merchant payments platform Shop2Shop to create FintechCo, a combined fintech platform valued at R21.3 billion. Pepkor will hold a 57.1% controlling stake by injecting R1.57 billion cash into Shop2Shop and contributing 100% of Flash, valued at R10.6 billion. The combined platform processes over R200 billion in annual throughput, serving South Africa's informal economy. Pepkor plans to list FintechCo separately in the medium term. The transaction is subject to regulatory approvals. CEO Pieter Erasmus holds an indirect 13.2% stake in FintechCo, while Shop2Shop founder Peter Berry holds 24%. The deal is not classified as a related-party transaction under JSE rules.
