The codification provides regulatory certainty for Canadian listed issuers, potentially increasing capital-raising activity. The strong uptake of the LIFE exemption suggests positive market sentiment toward this streamlined financing option.
The Canada — Canadian Securities Administrators (CSA) is seeking to codify increases to the amount of funds that qualified listed issuers can raise without a prospectus under the listed issuer financing exemption (LIFE). The proposed amendments would codify a 2025 blanket order that raised the maximum from $10 million to $25 million, or up to $50 million for larger companies, over 12 months. In its first year, the blanket order facilitated $3.7 billion in capital raised, eight times higher than under the original limits. The CSA is seeking feedback during a 90-day comment period ending October 21, 2026.
