Robbins Geller Rudman & Dowd LLP LLP announced a securities class action lawsuit against EquipmentShare, Inc. (NASDAQ: EQPT) and certain of its executives, directors, and IPO underwriters. The lawsuit, captioned Parra v. EquipmentShare, Inc., No. 26-cv-06288 (S.D.N.Y.), alleges violations of the Securities Act of 1933 and the Securities Exchange Act of 1934. The claims stem from EquipmentShare's January 2026 initial public offering, in which it sold 30.5 million shares at $24.50 per share. The complaint alleges that the offering documents and subsequent disclosures contained false or misleading statements and omitted material information about undisclosed related-party transactions. Specifically, on June 24, 2026, Umibōzu Research published a report alleging that entities affiliated with EquipmentShare's founders, the Schlacks family, had received at least $77 million through undisclosed related-party transactions, potentially much more. The report identified three undisclosed entities - EZ Equipment Zone, Bevel Financial, and Armada Fleet Management - as part of a web of 130 Schlacks-affiliated entities used to funnel fees and payments. Following the report, EquipmentShare's stock fell over 6% on June 24 and nearly 12% on June 25, 2026. Investors who purchased shares pursuant to the IPO or during the Class Period (January 23, 2026 to June 23, 2026) have until September 21, 2026 to seek appointment as lead plaintiff.
