Nextech3D.ai (CSE:NTAR) announced it has entered into a definitive agreement to acquire all outstanding shares of ARway Corporation that it does not already own. Nextech currently owns approximately 40% of ARway, with management and insiders owning an additional 20%. The transaction, expected to close in October 2026, will make ARway a wholly owned subsidiary, consolidating ARway's Map Dynamics event management platform with Nextech's AI-powered event technology. Consideration includes approximately 19.9 million Nextech shares, with an exchange ratio of about 0.5141 Nextech shares per ARway share.
