TRQ securities class action settlement

The settlement removes legal uncertainty for Turquoise Hill Resources and Rio Tinto, potentially stabilizing their stock prices. However, the financial impact is limited relative to their market capitalizations, and the denial of liability means no admission of wrongdoing.
A proposed settlement has been reached in a Canadian class action against Turquoise Hill Resources Ltd. (TRQ), Rio Tinto plc, Rio Tinto Limited, Rio Tinto International Holdings Limited (collectively Rio Tinto), and individual respondents Ulf Quellmann, Luke Colton, Brendan Lane, Jean-Sebastien Jacques, and Arnaud Soirat. The class action, authorized by the Canada — Superior Court of Quebec for settlement purposes only, concerns purchases of TRQ securities between July 31, 2018 and July 31, 2019 in non-U.S. transactions. The settlement amount is CAD $22,663,980.00, inclusive of fees and expenses. The respondents deny any wrongdoing. The court will consider approval on October 20, 2026. Class members may opt out by September 1, 2026, or object by October 2, 2026. Class counsel are KND Complex Litigation and Lex Group Inc.
