Bronstein, Gewirtz & Grossman, LLC announced that a class action lawsuit has been filed against NOW Inc. and certain of its officers. The suit alleges violations of Section 14(a) of the Exchange Act related to DNOW's merger with MRC Global Inc. Specifically, the complaint claims that DNOW negligently understated challenges arising from material issues with MRC Global's new enterprise resource planning system, which DNOW knew or should have known about. As a result, statements about DNOW's business and prospects were allegedly false and misleading. The class includes shareholders who held DNOW common stock as of the August 5, 2025 record date and were entitled to vote at the September 9, 2025 special meeting.
