The divestment streamlines L&T's portfolio, focusing on core EPC and hi-tech manufacturing while consolidating its data center and cloud services under a dedicated subsidiary. The transactions are internal restructurings with no immediate cash inflow, but they may position Larsen & Toubro — Vyoma.AI for future external investment or listing, potentially unlocking value in L&T's digital infrastructure assets.
Larsen & Toubro (L&T) has signed a Business Transfer Agreement to transfer its data center and cloud services business to its wholly owned subsidiary Larsen & Toubro — Vyoma.AI for Rs 1,400 crore, subject to closing adjustments. The transfer will be executed as a slump sale on a going-concern basis, with consideration discharged through the issue of fully paid-up equity shares of Larsen & Toubro — Vyoma.AI. In a separate transaction, L&T will divest its entire equity stake in Larsen & Toubro — L&T Network Services Private Ltd (LTNSPL) to Larsen & Toubro — Vyoma.AI for Rs 30 crore, also through share issuance. Both transactions are expected to complete on or before October 31, 2026. The data center business reported revenue of Rs 36.6 crore and net worth of Rs 1,142 crore in FY26, while LTNSPL had turnover of Rs 1.86 crore and net worth of Rs 18.31 crore. Larsen & Toubro — Vyoma.AI, incorporated in April 2026, is a newly formed entity for establishing data centers. The transactions are related-party and at arm's length, with no change in L&T's shareholding pattern.
