The offer at a significant premium is likely to boost Nagarro's share price and provide immediate value to shareholders. Persistent Systems' acquisition is expected to strengthen its global delivery capabilities and expand its client base, positively impacting its growth prospects.
On 14 August 2026, the Management Board and Supervisory Board of Nagarro SE published their joint reasoned statement recommending that shareholders accept the voluntary public takeover offer from Galaxy Germany Holding, a company controlled by Persistent Systems Limited. The offer price is EUR 81.00 per share, representing a premium of approximately 140% over the last trading price before the announcement. The boards consider the price adequate and fair and support the strategic partnership. The acceptance period runs from 6 August to 17 September 2026. The offer is subject to conditions including a minimum acceptance threshold of 50% plus one share, merger control clearances, and approval from the State Bank of India. Closing is expected in Q4 2026 or Q1 2027. The bidder has already secured about 20% of shares through an agreement with Lantano Beteiligungen GmbH. Post-closing, the bidder intends to pursue delisting from the Frankfurt Stock Exchange.
