The acquisition is expected to be accretive to OceanaGold's earnings per share once Katanning reaches commercial production, and it diversifies OceanaGold's asset base with a low-capital, open-pit development project in a premier mining jurisdiction. The deal provides Ausgold shareholders with a significant premium and ongoing exposure to a larger, cash-generative gold producer, while the market may view the transaction positively for OceanaGold's growth pipeline.
OceanaGold has entered into a definitive scheme implementation deed to acquire all issued shares of Ausgold Limited, the owner of the Katanning Gold Project in Australia. The all-share transaction values Ausgold at approximately A$776 million (US$549 million), with Ausgold shareholders receiving 0.03365 OceanaGold shares per Ausgold share, implying A$1.36 per share. This represents a 28% premium to Ausgold's last closing price and a 44% premium to its 20-day volume-weighted average price. Shareholders may elect cash consideration subject to a maximum cash pool of A$194 million. Upon completion, Ausgold shareholders are expected to own approximately 6% to 8% of OceanaGold. The Katanning Gold Project is a conventional open-pit development project with potential for over 100,000 ounces of annual gold production and a mine life exceeding 10 years, with first production expected in 2029. The Ausgold board has unanimously recommended the scheme, and major shareholder Dundee Corporation has confirmed its intention to vote in favor. The transaction is subject to shareholder and regulatory approvals and is expected to close in December 2026. OceanaGold plans to provide Ausgold with a A$20 million bridge loan in November 2026 to support working capital before closing.
