The announcement is positive for Steadright Critical Minerals Inc., as it strengthens its position in the TitanBeach project and brings in a multinational partner with expertise and financial capacity. The carried interest structure reduces financial risk and could enhance future revenue potential, likely supporting the company's stock price.
Steadright Critical Minerals Inc. announced that its Moroccan subsidiary NSM Capital SARL has secured a full 32% carried interest in the TitanBeach Titanium Project in Morocco. The interest was finalized with Homme Construction, a Moroccan company, and carries no dilution risk or further cost obligations. NSM Capital and Homme Construction formed a special purpose vehicle, Shan Tang Mining, into which the TitanBeach claims were transferred. Shan Tang Mining then signed a Framework Cooperation Agreement with a State-Owned Enterprise engineering and construction group for planning, design, permanent works, and operations and maintenance. The agreement includes a pilot plant operation and development of a long-term mining strategy. The TitanBeach project covers 192 sq. km, with a 16 sq. km area converted to a permitted mining concession, the first mining license for coastal-waters heavy mineral sands recovery in the Atlantic Ocean. The environmental permit is awaiting final signature. Steadright holds a 76.5% interest in NSM Capital, giving it an effective ~24.5% attributable interest in the project.
