Metaplanet, a Tokyo-listed Bitcoin treasury company, agreed to contribute 2,100 Bitcoin (worth about $132.1 million) and $2.5 million in cash to Nasdaq-listed Super League Enterprise in exchange for common shares, preferred stock, and warrants. The deal, valued at approximately $134.6 million, will give Metaplanet a 95.7% stake in Super League, which will be renamed Super League Enterprise and trade under the ticker SUPA. Super League Enterprise will operate as Metaplanet's U.S. Bitcoin treasury platform while continuing Super League's gaming advertising business as a separate segment. Metaplanet will appoint five of nine directors and receive ten-year warrants covering up to 381 million shares, plus the right to invest an additional $210 million through preferred stock over two years. The transaction is expected to close in Q4 2026, subject to shareholder and regulatory approvals. Metaplanet currently holds 43,000 BTC, making it one of the largest corporate Bitcoin holders. Analysts noted the deal is funded with Metaplanet's own Bitcoin rather than third-party capital, and shares carry a five-year lock-up.
