(NASDAQ: BLNE), a technology-driven mortgage platform, announced on August 3, 2026 that it has entered into a non-binding Letter of Intent (LOI) to acquire TYTL, a Delaware C Corp focused on blockchain-enabled residential home equity transactions, in an all-stock business combination. The proposed transaction would combine Beeline's AI-powered mortgage origination, Non-QM lending, title and settlement services with TYTL's blockchain-based residential equity infrastructure. The combined platform would enable qualified homeowners to sell fractional ownership interests in their homes in exchange for immediate liquidity, without incurring additional debt, and would provide institutional investors access to Regulation D-compliant digital securities backed by residential real estate. Management estimates an initial addressable market of approximately $1 trillion, targeting homeowners with properties valued at $1 million or more in premier U.S. markets. TYTL has already completed initial blockchain-recorded transactions, and its residential equity portfolio is valued at approximately 26% above aggregate acquisition cost. The companies have been integrating their platforms for over a year, and during the LOI period they will continue developing a wholesale distribution platform and advancing tokenization of residential mortgage-backed securities. The transaction is subject to negotiation of definitive agreements, shareholder approvals, and other closing conditions.
