The debt and equity offerings will increase Ryman Hospitality's leverage but provide funding for the strategic acquisition of two luxury Orlando resorts, expanding its portfolio. The successful pricing of the notes at 6.250% indicates favorable credit market conditions for the company, while the equity offering dilutes existing shareholders but strengthens the balance sheet.
Ryman Hospitality Properties, Inc. (NYSE: RHP) announced on August 11, 2026 that its subsidiaries, Ryman Hospitality Properties — RHP Hotel Properties, LP and Ryman Hospitality Properties — RHP Finance Corporation, intend to offer $700 million aggregate principal amount of senior notes due 2035 in a private placement. The notes will be senior unsecured obligations guaranteed by the company and its subsidiaries. The offering was subsequently priced at 6.250% interest, with closing expected on August 25, 2026. The proceeds will fund a portion of the approximately $1.38 billion purchase price for the pending acquisition of the JW Marriott Orlando Grande Lakes Resort and The Ritz-Carlton Orlando, Grande Lakes in Orlando, Florida. The balance will be funded by a registered public offering of 5,100,000 shares of common stock at $117.00 per share, priced on August 10, 2026, and cash on hand. The common stock offering is expected to close on August 12, 2026. The notes offering is not contingent on the acquisition, and if the acquisition is not completed, the notes will be subject to special mandatory redemption. The notes are being offered only to qualified institutional buyers under Rule 144A and to certain non-U.S. persons under Regulation S.
